What AssetDelta is
AssetDelta is a marketplace. The contract of sale is between the seller and the buyer. We are not a party to it.
We never take possession of a unit. We do not own it, store it, move it, test it, service it or resell it, and nobody from AssetDelta attends the site. What we do is narrow and worth stating plainly: publish the listing, generate a condition report from what the seller uploads, hold the buyer’s money while the unit is collected, and release it afterwards.
So the seller is the seller. If a unit is not as described, your claim is against them. Clause 07 sets out the window in which we can still help, by holding the money rather than passing it on.
Who can use AssetDelta
Business users only, aged 18 or over.
To sell you must be a UK or US business — sole trader, partnership or limited company — or an appointed insolvency practitioner selling on behalf of an estate. To buy you must be buying for a business.
Before you can publish a listing or fund a purchase we need business verification: company number, registered and trading name, VAT number where you have one, trading address and a collection postcode. Before you can be paid you need a connected Stripe account. Both are checked at the point of publish rather than at sign-up, and when publishing is blocked the screen names which one is missing.
One account per business. Do not share sign-in details.
The condition report — what it is
Every listing carries a condition report, built from eight photographs and whatever service documents the seller uploads.
The report contains:
- Brand, model and serial, read from the nameplate photograph.
- A matched catalogue entry with the price the unit cost new.
- An age estimate and the basis for it — usually the serial prefix plus the earliest dated invoice.
- A service timeline extracted from the uploaded invoices.
- Per-dimension findings, each linked back to the photograph region it came from.
- A grade of A, B, C or D, and a confidence percentage.
- A list of gaps naming what the report does not cover.
The grade is computed from the evidence. The seller may amend any field; every amendment is recorded with its before and after value and shown on the published listing as seller-amended. A Verified Inspection is a different thing — a person attends, inspects the unit, and their result replaces the computed grade.
The confidence percentage is a statement about the evidence, not a prediction about the machine. 78% means the report had most of what it needed. It does not mean the unit has a 78% chance of working.
The condition report — what it is not
The condition report is not a warranty, not a guarantee, and not an inspection.
The photographs are taken by the seller, of a unit that by then is usually de-installed, disconnected and unpowered. Nothing behind a panel is visible to a camera. No unit on AssetDelta is powered up, run under load, or opened by us.
A grade is our reading of the evidence supplied. It is not a promise about the machine, and nothing in the report displaces the fact that used equipment is sold as it stands.
Seller warranties and declared faults
When you publish a listing, you warrant that all of the following is true.
- You own the unit, or you have authority to sell it — including as an appointed insolvency practitioner acting for an estate.
- It is not subject to finance, lease, hire purchase or retention of title.
- The photographs are of that unit, and were taken within the last 30 days.
- The serial in the report matches the plate on the machine.
- The faults you have declared are complete and accurate as far as you actually know.
Known faults is a required field, and typing “None known” is a positive statement rather than a blank. If you know the door seal leaks, that the third burner does not light, or that the unit was taken out of service because the boiler failed, that belongs in known faults. Leaving it out is misrepresentation. It is the one thing that will get a completed sale unwound and an account closed.
Adding a service record after publication re-runs the report. The previous grade is kept on the record alongside the new one, so the change is visible rather than silent.
Commission and fees
We charge the seller a commission of 6% to 8%, on a completed sale only.
There is no listing fee, no subscription and no buyer fee. Commission is deducted from the sale amount at the point funds are released to the seller. If a sale does not complete, no commission is charged.

A Verified Inspection is a separate, optional fee. It is quoted and shown to you before you book it, never after. Removal, transport, disconnection and any statutory work are not included and are not charged by us — see clause 08.
Escrow: funds held, not paid
When a buyer checks out, the money is authorised and held. It is not sent to the seller, and it is not held by AssetDelta.
Payment is taken through Stripe as a manual-capture authorisation, so the buyer’s funds sit with the payment processor rather than with either party or with us. At that point the listing locks so nobody else can buy it, contact details are revealed to both sides, and collection is arranged directly between them.
When the unit is collected, a 48-hour window opens. Within it the buyer either confirms and releases the funds, or raises an issue. If neither happens, the funds release automatically at the end of the window.

Raising an issue moves the order to disputed and the funds stay held. We will ask both sides for evidence: the report snapshot as it stood at the time of sale, the photographs taken on collection, and the messages between you. We are not a court and we do not decide who is right in law. On the evidence we may return the funds to the buyer, release them to the seller, or split them — and whichever we do, your legal rights against the other party are unaffected.
One caution, stated plainly: the 48 hours exist to find what a photograph could not show. They are not a change-of-mind period, and a disputed order is decided on evidence, not on preference.
Collection, removal and statutory work
Getting the unit out of the building is the buyer’s and seller’s responsibility. It is never ours.
AssetDelta does not disconnect, dismantle, lift, carry or transport anything. Access, stairs, lifts, doorways, floor protection and making good afterwards are matters between the two parties and whoever they engage.
Some of this work is regulated, and it stays regulated whether or not anyone on either side has thought about it:
- 3-phase electrical isolation and disconnection must be carried out by a competent person.
- Gas appliances must be disconnected by a Gas Safe registered engineer in the UK, or the licensed equivalent in the US.
- Refrigerant must be recovered by an F-Gas certified technician before a charged unit is moved or scrapped. Venting it is an offence.
/removals lists removal contractors by postcode with the capabilities they have declared — 3-phase disconnect, Gas Safe, F-Gas handling, stairs and hoist, two-person, same-day. That list is a directory and nothing more. We do not employ, supervise, insure or check the quality of a contractor’s work, and we are not a party to any quote you accept. Check the certification yourself before anyone touches a gas line or a refrigerant circuit.
Contact details and dealing off-platform
Contact details are masked until funds are held, then revealed to both parties.
Until funds are held, phone numbers, email addresses and off-platform links in messages are masked. You can see that the mask is there — we show you what was hidden rather than deleting it quietly. On funds held, each party receives the other’s name, business name, phone number and the collection address, because somebody has to turn up at a real building with a van.
Taking a transaction off-platform after meeting here means no escrow, no report snapshot attached to the order, no 48-hour window and no dispute path. Commission remains due on the sale. The honest reason we ask you not to: outside the platform there is nothing holding the money and nothing recording what was claimed.
What you may not list
These do not go on AssetDelta.
- Anything you do not own or have no authority to sell.
- Anything subject to finance, lease, hire purchase or retention of title.
- Units recalled by the manufacturer, or units with safety interlocks removed or bypassed.
- A photograph of a different unit, a manufacturer stock image, or a serial that is not the one stamped on the machine.
- Anything already sold. Mark it sold externally instead — the unit leaves browse and its history is kept.
We will remove a listing that breaches this, and we will tell you which line it breached rather than leaving you to guess.
Payments, payouts and the processor
Card payments and payouts are handled by Stripe.
We never see or store card numbers. Payouts are made to your connected Stripe account, and the identity and bank checks that account requires are Stripe’s, under their agreement with you rather than this one.

Liability
We are a marketplace, and our liability is limited to the commission we charged.
Where we are liable to you for something that went wrong on the platform, our total liability for any one transaction is limited to the commission charged on that transaction. On the worked example in clause 06, that is $682.50.
We are not liable for the condition of a unit, for a fault the report did not find, for a removal contractor’s work, for damage during disconnection or transport, or for a party who does not turn up.
Nothing here limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded. This is a business-to-business platform; if you are dealing as a consumer, your statutory rights are unaffected by anything in this document.
Suspension and account closure
We can remove a listing or suspend an account, and we will say why.
Grounds are the ones you would expect: misdeclared faults, a serial that does not match the machine, a unit sold elsewhere and left live, non-payment, or repeated failure to complete a collection. Where a payout is held while we look at something, we will state the reason and the evidence we need.
You can close your account from settings. Closing it does not cancel a live order, and does not delete the transaction records we are required to keep — see clause 11 of the privacy notice.
Changes to these terms
The version and issue date are at the top of this document.
Material changes are notified by email before they take effect. An order is governed by the version in force on the day that order was created — not by whatever is on this page afterwards. The report snapshot attached to an order works the same way: it is the version at the time of sale, not the current listing.
Status of this document
Plain English: this is an MVP experiment, and this document has not been through a solicitor.
AssetDelta is being run to find out whether an evidence-backed condition report actually changes what used equipment sells for. These terms were drafted for that experiment. They describe what the software genuinely does today, and they are not a finished legal instrument.
